Services Terms – Qashier Payments

Section A. General Terms
1. Qashier Payments Services (Direct Provision and Master Merchant Model)
These Services Terms supplement the General Terms and govern the Qashier Payments Services. Qashier Payments Services may be provided directly by Qashier or through a master merchant model where Qashier acts as a master merchant and you are a sub-merchant. The applicable model will be communicated to you in writing or through QashierHQ.
2. Your Business
You represent and warrant that your business is legitimate and that you will only use Qashier Payments Services in connection with lawful commercial activities. You must not use Qashier Payments Services in connection with any Restricted Business or for any purpose that violates Law or the Financial Services Terms. You must provide accurate information about your business activities, including the nature of your goods or services, your business location, and your expected Transaction volumes.
3. Payment Methods and Transactions
3.1 Acceptance. Subject to these Services Terms and the General Terms, you may accept the Payment Methods that Qashier makes available to you. Qashier may add, remove or modify available Payment Methods at any time, and will notify you of material changes.
3.2 Payment Method Rules. You must comply with all Payment Method Rules applicable to each Payment Method you accept. Payment Method Rules may impose additional obligations on you, including restrictions on the types of goods and services you may sell and on Refund and Dispute handling. Qashier may require you to implement changes to your use of a Payment Method to comply with Payment Method Rules.
3.3 Acquirer Terms. Your use of certain Payment Methods may be subject to Acquirer Terms. By accepting those Payment Methods, you also agree to be bound by the applicable Acquirer Terms. In the event of a conflict between these Services Terms and any Acquirer Terms, the Acquirer Terms will prevail to the extent of the inconsistency with respect to the subject matter of those Acquirer Terms.
3.4 Payment Method Providers. Qashier may change Payment Method Providers at any time without notice. A change in Payment Method Provider will not affect your obligations under these Services Terms.
3.5 Card Transactions. For Transactions processed through a Card Network, you must comply with all applicable Card Network Rules. You must not impose a surcharge or fee on Customers for using a particular card type unless permitted by the applicable Card Network Rules and Law. You must not set a minimum or maximum Transaction amount for card Transactions unless permitted by applicable Card Network Rules and Law.
3.6 American Express. If Qashier enables you to accept American Express cards, your acceptance may be subject to additional terms from American Express. You authorize Qashier to share information about your Transactions and business with American Express as required by American Express’s rules and regulations.
3.7 Data Sharing. You authorize Qashier to share data about your Transactions and your business with Payment Method Providers, Payment Method Acquirers, and other Financial Partners as necessary to provide the Qashier Payments Services.
3.8 Customer Communication. You are responsible for all communications with Customers regarding Transactions, including providing receipts, disclosures, and handling Customer enquiries. You must not communicate with Customers in a manner that is misleading, deceptive, or that misrepresents the nature of a Transaction.
3.9 Requirements. You must meet all technical and operational requirements that Qashier specifies for accepting each Payment Method. Qashier may audit your compliance with these requirements at any time.
4. Processing Transactions
4.1 Authorization. You must obtain valid authorization for each Transaction before completing a sale. Qashier may decline to process a Transaction for any reason, including suspected fraud or a breach of these Services Terms or the General Terms.
4.2 Pooled Accounts. Qashier may hold Transaction settlement funds in Pooled Accounts prior to settlement to your User Bank Account. Funds held in Pooled Accounts are not your property until settled to your User Bank Account.
4.3 Sending Funds. Qashier will transfer Net Settlement Amounts to your User Bank Account in accordance with the Payout Schedule set out in Section B of these Services Terms, subject to any withholdings, deductions, or delays permitted under this Agreement.
4.4 Settlement Fees. Qashier will deduct applicable Fees from Transaction settlement amounts before transferring the Net Settlement Amount to your User Bank Account. The applicable Fees are set out on the Qashier Pricing Page.
4.5 Subscriptions. If you use Qashier Payments Services to process recurring or subscription payments, you must comply with all applicable Payment Method Rules and Law regarding such payments, including obtaining and retaining appropriate Customer authorizations and providing required disclosures.
4.6 Customer Authorizations. You are responsible for obtaining all necessary authorizations from Customers for Transactions, including for Merchant Initiated Transactions. You must retain evidence of Customer authorizations and provide such evidence to Qashier upon request.
5. Actions Qashier May Take
5.1 Reconciliation. Qashier may reconcile Transactions at any time. If Qashier identifies a discrepancy, Qashier may adjust your Qashier Account balance, including by debiting amounts that were incorrectly credited to you.
5.2 Negative Balances. If your Qashier Account balance becomes negative for any reason, including as a result of Disputes, Refunds, Reversals, or Fees, you must promptly restore your account to a positive balance. Qashier may debit your User Bank Account to recover any negative balance.
5.3 Disputes, Refunds and Reversals. Qashier may process Disputes, Refunds, and Reversals in accordance with the applicable Payment Method Rules and this Agreement. You authorize Qashier to debit your Qashier Account or User Bank Account for the amounts of any Disputes, Refunds, or Reversals.
5.4 Remedies Triggers. Qashier may take any of the actions described in Sections 5.5 through 5.9 if any event listed in Section 6.2 of the General Terms occurs, or if Qashier determines that you present an unacceptable level of financial or regulatory risk.
5.5 General Trigger. Qashier may suspend processing of Transactions, delay payouts, or take other remedial action if Qashier determines that it is necessary to protect Qashier, its Financial Partners, or third parties from financial loss or regulatory risk.
5.6 Scope. Qashier’s remedies under Sections 5.4 and 5.5 may apply to any or all of the Services and Qashier Payments Services available to you.
5.7 Reserve. Qashier may establish a Reserve at any time. Qashier will notify you of the establishment of a Reserve and the terms applicable to it. Qashier may increase, decrease, or modify the terms of a Reserve at any time. You acknowledge that the Reserve may be maintained from funds that would otherwise be payable to you.
5.8 Security Interest. To the extent permitted by Law, you grant to Qashier a security interest in, lien on, and right to setoff against all funds held in Pooled Accounts and your Qashier Account balance as security for your obligations under this Agreement. You agree to execute any additional documents necessary to perfect this security interest upon Qashier’s request.
5.9 Credit Support. Qashier may require you to provide additional credit support, including letters of credit, personal guarantees, or other security, if Qashier determines that the risk associated with your account exceeds acceptable levels.
6. Multi-Currency Processing
If Qashier makes Multi-Currency Processing available to you, you may request settlement in currencies other than the Transaction currency, subject to Qashier’s then-current conversion rates and applicable Fees. Multi-Currency Processing is subject to availability and may be discontinued by Qashier at any time. Qashier’s conversion rates are determined by Qashier in its sole discretion and may include a spread above interbank exchange rates.
7. Post-Termination Obligations
7.1 Pending Transactions. Upon termination of these Services Terms or the Agreement, Qashier may continue to process Transactions that were initiated prior to the effective date of termination in accordance with this Agreement.
7.2 Obligations Survive. Your obligations regarding Disputes, Refunds, Reversals, Reserves, and Fees will survive termination of these Services Terms and the Agreement.
8. User Information Updates
You must promptly notify Qashier of any changes to your business, including changes to your business type, products or services offered, volume of Transactions, ownership, or any other information you have provided to Qashier. Failure to notify Qashier of material changes may result in suspension of the Qashier Payments Services.
9. PCI Standards Compliance
You must comply with all applicable PCI Standards at all times. You must not store, transmit, or process Payment Account Details except as expressly permitted by PCI Standards and this Agreement. You must promptly notify Qashier of any actual or suspected breach of PCI Standards or compromise of Payment Account Details. You must cooperate with Qashier and any applicable Payment Method Acquirer or Payment Method Provider in any investigation of a PCI Standards breach.
10. Representations and Warranties
In addition to the representations and warranties in the General Terms, you represent as of the Effective Date and warrant at all times during the Term that:
(a) all Transactions you submit for processing are bona fide sales of goods or services to Customers;
(b) you have the right to submit each Transaction to Qashier for processing;
(c) each Transaction represents an obligation of the identified Customer for the stated amount;
(d) you will not submit Transactions for the purpose of obtaining cash advances;
(e) you comply with all applicable Payment Method Rules and Acquirer Terms; and
(f) you maintain appropriate controls and procedures to prevent fraudulent Transactions.
11. Indemnification
In addition to your indemnification obligations in the General Terms, you will indemnify, defend, and hold harmless the Qashier Parties against all losses, costs, and expenses (including legal fees) arising from or relating to:
(a) any violation of Payment Method Rules or Acquirer Terms by you;
(b) any Dispute, chargeback, or Reversal arising from your Transactions;
(c) any claim by a Customer or third party arising from your business practices or Transactions; and
(d) any failure by you to comply with PCI Standards.
12. Liability for Failure to Transfer Funds
To the maximum extent permitted by Law, Qashier’s liability for any failure to transfer funds to your User Bank Account in accordance with the Payout Schedule is limited to the amount of the affected Net Settlement Amount. Qashier will not be liable for any indirect, consequential, or punitive damages arising from a payout delay or failure. Qashier will not be liable for payout delays caused by a Payout Delay.
Section B. Payout Schedule
Qashier will transfer the Net Settlement Amount to your User Bank Account on the applicable Payout Day in accordance with this Section B.
With effect from 15 December 2025, a payout will only be made where the Net Settlement Amount exceeds PHP 1,000.00 (for Philippines merchants). Net Settlement Amounts that do not meet this threshold will be rolled over to the next Payout Day until the threshold is met.
“Sales Day” means a period from 00:00 to 23:59 in the time zone applicable to your Qashier Account, during which Transactions are grouped for settlement purposes.
“Payout Day” means:
(i) For WeChatPay and Atome transactions: the next Thursday following the Sales Day on which the Transactions were processed; and
(ii) For all other payment methods: the next working day following the Sales Day on which the Transactions were processed.
The following illustration shows the Payout Day for Transactions processed on a Monday Sales Day (subject to bank processing times and any applicable Payout Delay):

Qashier will not be liable for any Payout Delay. In the event of a Payout Delay, Qashier will use reasonable efforts to transfer the Net Settlement Amount as soon as reasonably practicable after the cause of the delay is resolved.
