Qashier Terminal Device Software License Agreement (EULA)

PLEASE READ THIS TERMINAL DEVICE SOFTWARE LICENSE AGREEMENT (“LICENSE”) CAREFULLY BEFORE USING YOUR QASHIER TERMINAL PRODUCT OR INSTALLING ANY UPDATE ACCOMPANYING THIS LICENSE. BY USING YOUR QASHIER TERMINAL PRODUCT OR INSTALLING AN UPDATE, AS APPLICABLE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE YOUR QASHIER TERMINAL PRODUCT.
1. Definitions
In this License, the following definitions apply:
“Qashier” means CashlessPOS, Inc. and/or QashierPay, Inc., the entities incorporated under the laws of the Philippines that provide Qashier products and services in the Philippines.
“Terminal Device Software” means the software, firmware, and related materials (including any Updates) pre-installed on or made available for installation on a Qashier Terminal Product, including all Updates provided under this License.
“Qashier Terminal Product” means a device, instrument, piece of equipment, or other hardware (a) supplied by a Qashier Entity or a third-party distributor or reseller authorized by a Qashier Entity to you; or (b) approved by Qashier for use to access the Qashier Terminal Services or to operate the Terminal Device Software, including any physical Point of Sale (POS) device, accessory, component, or spare part, and the Terminal Device Software installed on that hardware product.
“Updates” means all modifications, feature enhancements, patches, bug fixes, security updates, and other updates to the Terminal Device Software that Qashier makes available from time to time.
“Licensed Application” means any software application developed by or for Qashier that is designed to run on a Qashier Terminal Product and that is made available to you as part of the Qashier Terminal Services.
2. Delivery and Updates
Qashier provides the Terminal Device Software pre-installed on your Qashier Terminal Product or as a separate download for installation on an approved device. Qashier may deliver Updates to your Qashier Terminal Product automatically, without requiring you to take any action, or may require you to manually install Updates. You agree that Qashier may deliver Updates automatically, and that such Updates may modify the functionality of the Terminal Device Software.
You must install all Updates promptly as instructed by Qashier. Failure to install required Updates may result in the Terminal Device Software not functioning correctly, security vulnerabilities, or incompatibility with the Qashier Terminal Services or Qashier Payments Services. Qashier will not be responsible for any issues arising from your failure to install required Updates in a timely manner.
Qashier reserves the right to discontinue providing Updates for any version of the Terminal Device Software at any time. After discontinuation, you should contact Qashier to determine whether a replacement version of the Terminal Device Software is available.
3. Services
The Terminal Device Software may enable you to access certain Qashier services, including the Qashier Terminal Services and the Qashier Payments Services. Your use of those services is governed by the Qashier Services Agreement, including the applicable Services Terms. If you do not have a valid Qashier Account or if your access to those services has been suspended or terminated, certain features of the Terminal Device Software may not be available to you.
The Terminal Device Software may also enable you to access third-party services. Qashier is not responsible for any third-party services accessible through the Terminal Device Software, and your use of any such third-party services is subject to the terms of service of the relevant third party.
4. Permitted License Uses
Subject to the terms and conditions of this License, Qashier grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Terminal Device Software solely on your Qashier Terminal Product and solely in connection with your use of the Qashier Terminal Services and the Qashier Payments Services in accordance with the Qashier Services Agreement.
This License does not grant you any rights to use the Terminal Device Software on any device other than your Qashier Terminal Product. This License does not grant you any ownership rights in the Terminal Device Software. All rights in the Terminal Device Software not expressly granted in this License are reserved by Qashier and its licensors.
5. Restrictions
You must not, and must not enable or permit any third party to:
(a) copy, reproduce, modify, adapt, translate, or create derivative works of the Terminal Device Software, in whole or in part;
(b) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code or underlying structure of the Terminal Device Software, except to the extent expressly permitted by applicable Law;
(c) sublicense, sell, resell, transfer, assign, or otherwise dispose of the Terminal Device Software or any rights in the Terminal Device Software to any third party;
(d) remove, alter, or obscure any proprietary notices, labels, or marks on or in the Terminal Device Software;
(e) use the Terminal Device Software for any purpose other than the purposes expressly permitted by this License;
(f) use the Terminal Device Software in any manner that violates any applicable Law;
(g) attempt to gain unauthorized access to any Qashier system, network, or data through the Terminal Device Software; or
(h) use the Terminal Device Software to develop a competing product or service.
6. Suspension/Termination
This License is effective from the date you first use your Qashier Terminal Product and will continue until terminated. Qashier may suspend or terminate this License immediately upon notice to you if:
(a) you breach any term of this License;
(b) you breach any term of the Qashier Services Agreement;
(c) your Qashier Account is suspended or terminated;
(d) Qashier discontinues the Terminal Device Software or the Qashier Terminal Services; or
(e) Qashier is required to do so by applicable Law or a Governmental Authority.
Upon termination of this License, you must immediately cease all use of the Terminal Device Software and, if requested by Qashier, destroy or return all copies of the Terminal Device Software in your possession. Termination of this License does not affect any rights or obligations that have accrued prior to termination.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TERMINAL DEVICE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. QASHIER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QASHIER DOES NOT WARRANT THAT THE TERMINAL DEVICE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE TERMINAL DEVICE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ERRORS IN THE TERMINAL DEVICE SOFTWARE WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU IN ITS ENTIRETY, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL QASHIER OR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE TERMINAL DEVICE SOFTWARE, EVEN IF QASHIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QASHIER’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS LICENSE OR THE TERMINAL DEVICE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR THE QASHIER TERMINAL PRODUCT ON WHICH THE TERMINAL DEVICE SOFTWARE IS INSTALLED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9. Export Control
You must comply with all applicable export control and trade sanctions laws and regulations in connection with your use, import, export, re-export, or transfer of the Terminal Device Software, including the export control laws of the Philippines and the laws of any other jurisdiction in which you use the Terminal Device Software. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to applicable trade sanctions or export restrictions. You must not use the Terminal Device Software for any purpose prohibited by applicable export control laws, including the development, design, manufacture, or production of missiles, nuclear weapons, chemical weapons, or biological weapons.
10. General
10.1 Governing Law. This License is governed by and construed in accordance with the laws of the Philippines, without giving effect to any conflict of law principles. Any dispute arising from or relating to this License will be subject to the jurisdiction of the courts of the Philippines, or, if applicable, resolved through arbitration in accordance with the dispute resolution provisions of the Qashier Services Agreement.
10.2 No Agency. Nothing in this License creates or implies any agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship between you and Qashier.
10.3 Notices. Qashier may provide notices to you under this License by posting updates on the Qashier Website, by sending an email to the address associated with your Qashier Account, or by delivering an in-product notification through the Terminal Device Software or QashierHQ.
10.4 Severability. If any provision of this License is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed from this License, and the remaining provisions of this License will continue in full force and effect.
10.5 Entire Agreement. This License, together with the Qashier Services Agreement and the Qashier Terminal Purchase Terms, constitutes the entire agreement between you and Qashier with respect to the Terminal Device Software, and supersedes all prior and contemporaneous agreements, representations, and understandings between the parties with respect to the Terminal Device Software.
10.6 Waiver. No failure or delay by Qashier in exercising any right or remedy under this License will operate as a waiver of that right or remedy. No single or partial exercise of any right or remedy will prevent any further exercise of that right or remedy or the exercise of any other right or remedy.
10.7 Amendment. Qashier may amend this License at any time by posting an updated version on the Qashier Website or by notifying you through the Terminal Device Software or QashierHQ. Your continued use of the Terminal Device Software after the effective date of any amendment constitutes your acceptance of the amended License.
