Qashier Terminal Purchase Terms

These Purchase Terms apply to the purchase of Qashier Terminal Products. The purchaser of a Qashier Terminal Product is the entity that owns the Qashier account at the time of purchase. By purchasing a Qashier Terminal Product, you agree to be bound by these Purchase Terms.
Section A. Qashier Terminal Products
1. Key Concepts
In these Purchase Terms, the following definitions apply:
“Qashier Terminal Products” means the devices, instruments, pieces of equipment, and other hardware that a Qashier Entity or an authorized third-party distributor or reseller supplies to you, including any physical Point of Sale (POS) device, accessory, component, or spare part, together with the Terminal Device Software installed on that hardware product.
“Terminal Device Software” has the meaning given to it in the Terminal Device EULA.
“Terminal Device EULA” means the Qashier Terminal Device Software License Agreement, the terms of which govern your use of the Terminal Device Software.
“Purchase Terms” means these Qashier Terminal Purchase Terms as amended from time to time.
“User Bank Account” means a bank or other financial institution account you identify to Qashier in connection with your Qashier Account.
“Refund Period” means the period of 14 calendar days from the date of delivery of a Qashier Terminal Product to you, during which you may return the product in accordance with clause 7 of these Purchase Terms.
2. Product Specifications
The specifications of Qashier Terminal Products are subject to change without notice. You should visit qashier.com for the most current product specifications before making a purchase. Qashier does not warrant that product specifications will remain unchanged after your purchase, and specifications published on qashier.com at the time of purchase are provided for informational purposes only.
3. Hardware Availability
Qashier may discontinue any Qashier Terminal Product at any time. Qashier has no obligation to continue selling, supplying, or supporting any discontinued Qashier Terminal Product. Discontinuation of a product does not entitle you to any refund, replacement, or compensation unless expressly stated by Qashier in writing.
4. Geographic Availability
Qashier Terminal Products are sold only in the geographic areas where Qashier makes them available. Products purchased in one jurisdiction may not be compatible with, or authorized for use in, another jurisdiction. You are responsible for ensuring that any Qashier Terminal Product you purchase is authorized for use in your jurisdiction.
5. Prices
The prices for Qashier Terminal Products are listed on qashier.com. Qashier may change the prices of Qashier Terminal Products at any time without notice. The price applicable to your purchase is the price listed at the time you complete your purchase. Prices are stated exclusive of applicable taxes unless otherwise indicated.
6. Taxes
You are solely responsible for all taxes, duties, levies, and other governmental charges arising from or relating to your purchase of Qashier Terminal Products, including value-added tax (VAT), goods and services tax (GST), customs duties, and import taxes. Qashier may be required to collect certain taxes from you at the time of purchase. Any taxes collected by Qashier will be itemized in your purchase confirmation.
7. Shipping, Refunds and Returns
Shipping terms, including delivery timeframes and shipping fees, are set out on qashier.com and in your purchase confirmation. Risk of loss and title to Qashier Terminal Products pass to you upon delivery.
You may return a Qashier Terminal Product within the Refund Period if the product is new, unused, and in its original packaging, including all accessories, manuals, and documentation. To initiate a return, you must contact Qashier through the stipulated methods on the Qashier Website before the end of the Refund Period. Qashier may charge a restocking fee for returned products.
No refunds will be provided for Qashier Terminal Products that have been damaged, modified, or used in a manner inconsistent with these Purchase Terms or the Qashier Terminal Documentation. Returns of damaged or used products will not be accepted.
8. Limited Hardware Warranty
Qashier warrants that each Qashier Terminal Product will be free from defects in materials and workmanship for a period of one year from the date of purchase (“Warranty Period”). This limited hardware warranty covers manufacturing defects only and does not cover damage caused by accident, abuse, misuse, flood, fire, earthquake, or other external causes; damage caused by operating a product outside the permitted or intended uses described by Qashier; or damage caused by service performed by anyone who is not a representative of Qashier or an authorized Qashier service provider.
To obtain warranty service, you must contact Qashier during the Warranty Period and provide proof of purchase. Qashier’s sole obligation under this warranty is, at Qashier’s election, to repair or replace the defective product. Replacement products may be new or refurbished. This warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction.
9. Extended Warranty
Qashier may offer an extended warranty program (“QashierCare”) for Qashier Terminal Products, which may be purchased separately. The terms and conditions of QashierCare are set out in a separate agreement. QashierCare, if available, must be purchased within the period specified on qashier.com.
10. End Users
Qashier Terminal Products are intended for use only by you, your employees, and your authorized agents in connection with your business operations. You must not resell, sub-license, lease, rent, loan, or otherwise transfer Qashier Terminal Products to any third party without Qashier’s prior written consent. Qashier Terminal Products are not intended for personal, family, or household use.
11. Use
You must use Qashier Terminal Products only in compliance with all applicable Laws, these Purchase Terms, the Qashier Terminal Documentation, the Terminal Device EULA, and the Agreement. You are responsible for ensuring that your use of Qashier Terminal Products complies with all applicable Laws in the jurisdiction in which you use them.
12. Restrictions
You must not, and must not enable or permit any third party to:
(a) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code or structure of any Terminal Device Software or any component of a Qashier Terminal Product;
(b) modify, adapt, translate, or create derivative works based on any Qashier Terminal Product or Terminal Device Software;
(c) remove, alter, or obscure any proprietary notices, labels, or marks on any Qashier Terminal Product;
(d) use any Qashier Terminal Product to develop a competing product or service; or
(e) use any Qashier Terminal Product in any manner that violates any applicable Law or these Purchase Terms.
13. Commercial Use Only
Qashier Terminal Products are designed and intended for commercial use only. You must not use Qashier Terminal Products for personal, family, or household purposes. By purchasing a Qashier Terminal Product, you represent and warrant that you are purchasing it for commercial use in connection with your business.
14. Unauthorized Use
You must report to Qashier immediately if any Qashier Terminal Product in your possession is lost, stolen, or otherwise accessed or used by an unauthorized person. Qashier may suspend or deactivate any Qashier Terminal Product that is reported as lost or stolen, or that Qashier reasonably believes has been accessed or used in an unauthorized manner.
15. Export
You must comply with all applicable export control and trade laws and regulations in connection with your purchase, use, and transfer of Qashier Terminal Products, including the export control laws of the Philippines and any other applicable jurisdiction. You must not export, re-export, or transfer any Qashier Terminal Product to any country, entity, or person that is subject to applicable export restrictions.
16. Installation and Updates
You are responsible for installing Qashier Terminal Products in accordance with the Qashier Terminal Documentation. You must install all Updates to Terminal Device Software as instructed by Qashier or as required by the Terminal Device EULA. Failure to install required Updates may result in degraded performance, security vulnerabilities, or loss of compatibility with the Qashier Payments Services.
17. Ownership
Title to Qashier Terminal Products passes to you upon delivery. Risk of loss passes to you upon delivery. For the avoidance of doubt, ownership of any Terminal Device Software remains with Qashier or its licensors, and your rights in Terminal Device Software are limited to those granted under the Terminal Device EULA.
18. Feedback
If you provide Feedback to Qashier regarding Qashier Terminal Products, you grant to Qashier and its Affiliates a perpetual, worldwide, non-exclusive, irrevocable, royalty-free license to use, exploit, and incorporate that Feedback into Qashier’s products and services for any purpose, without any obligation to you.
19. Software License Terms
Your use of Terminal Device Software included with or installed on any Qashier Terminal Product is governed by the Terminal Device EULA. By using any Qashier Terminal Product, you agree to the terms of the Terminal Device EULA. In the event of a conflict between these Purchase Terms and the Terminal Device EULA with respect to Terminal Device Software, the Terminal Device EULA will prevail.
Section B. General Terms
1. Disclaimer
Except for the limited hardware warranty in Section A, clause 8 of these Purchase Terms, Qashier Terminal Products are provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by Law, Qashier disclaims all express and implied warranties with respect to Qashier Terminal Products, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
2. Limitation of Liability
To the maximum extent permitted by Law, Qashier’s total liability to you for any claims arising from or relating to Qashier Terminal Products or these Purchase Terms is limited to the purchase price of the Qashier Terminal Product giving rise to the claim. In no event will Qashier be liable for any indirect, incidental, consequential, special, or punitive damages arising from or relating to Qashier Terminal Products or these Purchase Terms, even if Qashier has been advised of the possibility of such damages.
3. Disclosures
Qashier may be required by Law, court order, or Governmental Authority to disclose information about you or your purchase of Qashier Terminal Products. Qashier will comply with any such legally valid and binding disclosure requirements.
4. No Agency
Nothing in these Purchase Terms creates or implies any agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship between you and Qashier. You are an independent purchaser of Qashier Terminal Products and have no authority to bind Qashier to any obligation.
5. Force Majeure
Qashier will not be liable to you for any failure or delay in performing its obligations under these Purchase Terms to the extent that such failure or delay is caused by a Force Majeure Event. Qashier will use reasonable efforts to resume performance as soon as practicable after a Force Majeure Event.
6. Third-Party Claims
You will indemnify, defend, and hold harmless the Qashier Parties against all losses, costs, damages, and expenses (including legal fees) arising from any third-party claim arising from or relating to your misuse of Qashier Terminal Products, your breach of these Purchase Terms, or your violation of any applicable Law in connection with Qashier Terminal Products.
7. Representations
By purchasing a Qashier Terminal Product, you represent and warrant that you have the legal authority to enter into these Purchase Terms, that your purchase is for commercial purposes, and that your use of the Qashier Terminal Product will comply with all applicable Laws and these Purchase Terms.
8. Governing Law
These Purchase Terms are governed by and construed in accordance with the laws of the Philippines, without giving effect to any conflict of law principles. Any disputes arising from or relating to these Purchase Terms that are not resolved amicably will be subject to the dispute resolution provisions of the Qashier Services Agreement.
9. Dispute Resolution
Any dispute arising from or relating to these Purchase Terms that cannot be resolved amicably between the parties will be referred to and finally resolved by arbitration in accordance with the dispute resolution provisions of the Qashier Services Agreement. The parties will first attempt in good faith to resolve any dispute through mutual negotiation before initiating arbitration.
10. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Purchase Terms without Qashier’s prior written consent. Any purported assignment or transfer in violation of this clause will be void. Qashier may freely assign or transfer these Purchase Terms or any of its rights or obligations under these Purchase Terms without your consent.
11. Entire Agreement
These Purchase Terms, together with the Terminal Device EULA and the Qashier Services Agreement (to the extent applicable), constitute the entire agreement between you and Qashier with respect to the subject matter of these Purchase Terms, and supersede all prior and contemporaneous agreements, representations, and understandings between the parties with respect to that subject matter.
12. Cumulative Rights
The rights and remedies of the parties under these Purchase Terms are cumulative and not exclusive of any other rights or remedies that may be available to them at law, in equity, or under any other agreement.
13. Survival
Clauses that by their nature are intended to survive termination or expiry of these Purchase Terms will survive, including without limitation clauses relating to intellectual property, limitations of liability, disclaimer of warranties, indemnification, governing law, and dispute resolution.
